These Terms of Service govern your access to and use of Mix™, a service operated by Modulus AI, Inc. In these Terms, “Modulus,” “Mix,” “we,” “us,” and “our” refer to Modulus AI, Inc. as applicable.
1. Acceptance of Terms
By accessing Mix, registering an email address for Mix access, purchasing Mix credits, submitting information for processing, or otherwise using Mix, you agree to these Terms and the Mix Privacy Statement. If you do not agree, do not use Mix.
Modulus may update these Terms from time to time. Material changes will be posted with a new effective date and, where appropriate, communicated to registered users.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use Mix. If you use Mix for or on behalf of an organization, you represent that you have authority to bind that organization.
3. What Mix Is
Mix is an artificial-intelligence research, reasoning, and analysis service. Mix may route user inputs among one or more third-party artificial-intelligence models, internal systems, tools, research systems, infrastructure providers, and other computational services.
Mix may analyze, transform, minimize, substitute, summarize, compress, route, divide, normalize, or otherwise process information as necessary to provide the service, improve privacy, reduce unnecessary data exposure, manage computational cost, perform reasoning, generate output, meter usage, and maintain system security.
Mix may select models and providers automatically. The provider or model mix may change at any time as AI technology changes.
4. Minimal Account Access
Mix is designed to require minimal account information. We may require an email address so we can:
- authenticate access using a one-time code or magic link
- maintain your Mix credit balance
- restore access to remaining credits
- provide receipts
- provide service notices
- communicate about account security
- administer legally required notices
Mix is not designed around a conventional password-based profile. You are responsible for maintaining control of the email account used to access Mix. You may not transfer or misuse another person’s Mix access.
5. No Permanent Mix Chat History
Mix is designed not to maintain a permanent customer chat-history database. Prompts, temporary model responses, working state, tool outputs, and final outputs may be processed while a reasoning run is active.
Once the run is complete, Mix is designed to remove the reasoning state from its persistent application systems rather than preserve it as a permanent customer chat history, subject to exceptional circumstances described in these Terms and the Privacy Statement.
You are responsible for saving, copying, or downloading output that you wish to retain.
6. Mix Credits
Mix operates on prepaid usage credits. As of August 17, 2026, the price is $20 per 1,000,000 Mix tokens. This price is subject to change.
A Mix token is a normalized service metering unit used by Mix to measure computational usage. A Mix token:
- is not cryptocurrency
- is not legal tender
- is not stored monetary value
- is not a security
- has no independent monetary value
- does not necessarily correspond one-for-one with a tokenizer or billing unit used by a third-party AI provider
Mix may normalize usage across multiple AI providers, model input, model output, reasoning steps, internal preprocessing, tools, research calls, verification, orchestration, retries, and other computation used to complete the request.
Prices and metering methods may change prospectively. Changes will not retroactively reduce Mix credits already purchased.
7. No Subscription
Mix is intended to operate without a mandatory recurring subscription. Purchasing Mix credits does not authorize Modulus to make recurring charges unless the user separately and expressly elects a recurring product that may be offered in the future. No recurring Mix subscription is part of the initial product described by these Terms.
8. Credit Expiration
As a product rule, paid Mix credits are intended not to expire while Mix remains available. This is subject to:
- applicable law
- abandoned-property and unclaimed-property requirements
- account closure
- fraud
- chargebacks
- lawful termination
- product discontinuation
- other circumstances permitted by these Terms
If Mix permanently discontinues prepaid credits, Modulus will provide treatment of unused credits required by applicable law and may offer additional migration or refund options.
9. Payment Methods
Mix may accept credit cards, debit cards, prepaid payment cards, stablecoins, cryptocurrencies, and other payment methods. Payment services may be provided by third parties. Those providers may process personal, financial, transaction, device, fraud-prevention, blockchain, or other information under their own terms and privacy policies.
Modulus may receive information necessary to confirm payment, credit a Mix balance, issue a refund, respond to a dispute, prevent fraud, comply with accounting and tax requirements, and comply with law.
Mix reasoning infrastructure is designed to operate separately from the billing infrastructure.
10. Usage Metering
Mix deducts credits according to the computational work used to perform a request. Usage may vary based on input size, complexity, models selected, reasoning depth, number of reasoning rounds, output length, web research, tools, disagreement resolution, retries, provider behavior, and other computational requirements.
Where practical, Mix may present an estimate, maximum budget, or other usage guidance before a run. Actual usage may differ from an estimate.
11. Failed Runs
If a run fails because of a Mix system failure and does not deliver a usable result, Modulus may restore affected credits. Restoration or refund may not apply where failure results from unsupported user content, third-party provider outages, prohibited use, network failure outside Mix, user abandonment, user device failure, legally required interruption, or other circumstances outside Modulus’s reasonable control. Modulus may nevertheless restore credits at its discretion.
12. Privacy-Oriented PII Processing
Mix is designed to minimize unnecessary identifying information sent to external AI providers. Mix may identify and substitute personally identifying information before external model processing when the identifying information is (1) unnecessary to identify the customer for purposes of the analysis, and (2) not pertinent or critical to the question being asked.
Mix does not intentionally substitute information where doing so could materially impair context, accuracy, medical relevance, legal relevance, jurisdictional relevance, business relevance, geographic relevance, factual interpretation, or other aspects of the requested analysis.
Automated PII detection and substitution are not guaranteed to identify every personal detail. Users must not rely on Mix as a legal guarantee of anonymization.
13. Separation of Billing and Reasoning
Mix is designed so account and billing functions operate separately from AI reasoning functions. The account and billing system may know your email, credit balance, payment status, and transaction records. The reasoning system is intended to receive a temporary run authorization, the information necessary to perform the analysis, the available usage budget, and temporary reasoning state.
The reasoning system is not intended to require the customer’s billing identity merely to perform a reasoning run. A temporary authorization may bridge the two systems solely to permit a defined amount of usage.
14. Temporary Reasoning Sessions
Mix may process temporary information in volatile memory, transient storage, queues, caches, temporary files, networking infrastructure, isolated computing environments, and provider systems. This processing exists to complete the requested run.
Mix is designed not to convert completed reasoning sessions into a permanent account-linked chat-history database. Exceptional preservation may occur where required or reasonably necessary for legal obligations, security investigations, abuse investigations, fraud prevention, system integrity, service failure diagnosis, dispute resolution, preservation obligations, or other exceptional operational or legal requirements.
15. Third-Party AI Providers
Mix relies on third-party AI providers. Those providers may process user-derived information, maintain safety systems, retain information temporarily, use provider-specific logs, impose usage policies, respond to legal obligations, and change their terms or technical systems.
Retention may vary by provider, model, API, contract, safety requirements, geographic region, applicable law, and available zero-data-retention arrangements. Modulus does not control every aspect of those systems.
Mix is designed to minimize unnecessary identifying information before external processing where doing so will not compromise the answer. Use of Mix does not mean that no third party ever processes or retains any portion of a reasoning request.
16. User Content and Rights
You retain your rights in information you submit. You represent that you have the rights and permissions necessary to submit information to Mix and its service providers.
You grant Modulus a limited right to process submitted information solely as reasonably necessary to provide Mix, perform reasoning, improve privacy, route model calls, meter usage, maintain security, prevent abuse, and comply with law.
To the extent Modulus has rights in output generated specifically for you, and subject to applicable law and third-party provider terms, Modulus grants you the right to use that output.
17. Confidential or Restricted Information
Do not submit information that you are prohibited from providing to Mix or its service providers by law, court order, contract, fiduciary duty, professional obligation, confidentiality agreement, privacy obligation, or regulatory requirement. Mix is privacy-oriented, but it is not a substitute for obtaining any required consent or authorization.
18. Patented and Proprietary Technology
Mix incorporates patented and proprietary Modulus technology. Purchase of Mix credits grants access to the Mix service. It does not grant a patent license, source-code license, trade-secret license, or ownership interest in Modulus technology except for the limited rights expressly stated in these Terms. Mix™, Modulus®, and other marks may not be used without authorization.
19. AI Limitations
AI systems can make mistakes. Using multiple models, model ensembles, disagreement analysis, additional reasoning rounds, research, verification, critique, or patented Modulus technology does not guarantee that an answer is true, complete, current, correct, or suitable for a particular purpose. Users are responsible for independently evaluating important output.
20. No Professional Advice
Mix is an AI research and reasoning tool. Unless Modulus expressly states otherwise in connection with a separate regulated service, Mix does not itself constitute legal advice, medical advice, investment advice, tax advice, accounting advice, brokerage services, professional engineering certification, or other licensed professional advice. Consult an appropriately qualified professional where necessary.
21. Prohibited Use
You may not use Mix:
- in violation of applicable law
- to harm others
- to infringe third-party rights
- to interfere with the service
- to defeat security controls
- to gain unauthorized access
- to improperly exhaust system resources
- to reverse engineer protected systems except where applicable law expressly permits
- in violation of applicable third-party model provider usage rules
Modulus may restrict or terminate access where necessary to protect Mix, users, providers, or legal compliance.
22. Export Controls and Sanctions
Mix is subject to United States export control and economic sanctions laws, including regulations administered by the U.S. Department of Commerce and the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC). You may not access or use Mix if you are located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S. sanctions, or if you are identified on any U.S. government restricted-party list. You may not use Mix, or permit Mix to be used, in violation of U.S. export control or sanctions laws or for any end use prohibited by them, including the development of weapons. By using Mix, you represent and warrant that you are not such a person and that you will comply with these laws. Third-party AI providers whose models Mix routes to impose equivalent restrictions, which also apply to your use of Mix.
23. Availability
Mix may change, suspend, limit, or discontinue features, substitute providers or models, and alter model routing or metering. Third-party models may become unavailable without notice. Modulus does not guarantee that any particular model will always be used or available.
24. Refunds
Used Mix credits are generally nonrefundable once computational resources have been consumed, except where required by law, a Mix system failure justifies restoration, or Modulus expressly provides otherwise. Unused credit purchases may be subject to a refund policy presented at checkout. Crypto payments may have different practical refund mechanics than card payments.
25. Security
Mix uses administrative, technical, and organizational measures intended to protect information. The architecture emphasizes data minimization, PII substitution where appropriate, separation of billing and reasoning, temporary run identities, limited retention, and avoidance of permanent Mix chat history.
No internet service can guarantee perfect security, perfect anonymity, perfect confidentiality, uninterrupted availability, or immunity from lawful legal process.
26. Third-Party Services
Mix may rely on AI model providers, payment processors, cloud providers, email providers, infrastructure providers, security providers, and research providers. Those services may be governed by their own terms. Modulus is not responsible for third-party services except to the extent required by law or expressly stated in an agreement.
27. Suspension and Termination
Modulus may suspend or terminate access if required by law, necessary for security, necessary to address fraud or abuse, required by a service provider, the user violates these Terms, or the service is discontinued. Treatment of unused credits will be governed by these Terms and applicable law.
28. Disclaimer of Warranties
To the maximum extent permitted by law, Mix is provided “as is” and “as available.” Modulus disclaims implied warranties including merchantability, fitness for a particular purpose, noninfringement, uninterrupted availability, accuracy, reliability, and warranties arising from course of dealing or usage of trade, except where such disclaimers are prohibited.
29. Limitation of Liability
To the maximum extent permitted by law, Modulus and its affiliates, officers, directors, employees, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of opportunity, loss of data, business interruption, or damages arising from reliance on AI output.
To the maximum extent permitted by law, the aggregate liability of Modulus arising out of or relating to Mix will not exceed the amount you paid to Modulus for Mix credits in the twelve (12) months before the event giving rise to the claim.
30. Indemnification
To the extent permitted by law, you will indemnify and hold harmless Modulus and its affiliates, officers, directors, employees, and agents from third-party claims arising from unlawful submitted information, violation of these Terms, infringement of third-party rights, unlawful use, or unauthorized submission of confidential information.
31. Dispute Resolution and Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or Mix that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules, seated in Maricopa County, Arizona.
Claims must be brought on an individual basis only. To the maximum extent permitted by law, you and Modulus each waive the right to a jury trial and the right to participate in a class action, class arbitration, or representative proceeding.
32. Governing Law
These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law rules, except where applicable consumer law provides otherwise.
33. Force Majeure
Modulus is not liable for delay or failure caused by events beyond its reasonable control, including failures or changes involving AI model providers, cloud infrastructure, payment networks, internet providers, blockchain networks, government action, cyberattacks, utility failures, and other events beyond reasonable control.
34. Assignment
You may not assign these Terms or your rights under them except as permitted. Modulus may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or other corporate transaction, subject to applicable law and the Privacy Statement.
35. Severability
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be enforced to the maximum extent permitted.
36. Entire Agreement
These Terms, the Mix Privacy Statement, purchase terms displayed at checkout, and any other expressly incorporated documents constitute the agreement governing Mix.
